Each Unit consists of one common share (a "Share") and one common share purchase warrant (a "Warrant"). Each Warrant entitles the holder to purchase one additional Share at a price of $1.00 for a period of 24 months from the date of issue, subject to an accelerated expiry provision whereby the Company may accelerate the expiry date if the volume-weighted average trading price of the Shares on the TSX Venture Exchange is $1.25 or greater for any ten (10) consecutive trading days.Combined with the first tranche that closed on November 7, 2025, the Company has now raised total gross proceeds of $7,181,400 under the Private Placement.Insider Participation and Related Party TransactionA director of the Company participated in the second tranche by subscribing for 350,000 Units ($245,000), representing approximately 17.3% of the second tranche.
